General terms that apply to prize draws, discounts, trials and other promotions we run — see the specific terms published for each promotion for its own details.

These are our general terms for prize draws, discounts, free trials and other promotions we run from time to time (each a "promotion"). They apply alongside the specific details we publish for each promotion — for example, the promotion period, prize, or discount on offer (the "promotion-specific terms"). If there’s ever a conflict between these general terms and the promotion-specific terms for a particular promotion, the promotion-specific terms win.

These promotion terms are separate from, and don’t form part of or vary, any services contract you have with us — they apply only to your participation in the promotion. If you’re one of our customers and you take up a discount, trial or voucher under a promotion, your order form or account records the resulting change to your subscription; these terms don’t themselves amend your services contract.

We may change these general terms, or withdraw a promotion, at any time. By entering a promotion, you agree to be bound by these general terms and that promotion’s specific terms.

1. Who runs our promotions

Promotions are run by the Agilio Group company named in the promotion-specific terms (or, if none is named, Agilio Software Bidco Limited). References to "we," "us" and "our" in these terms mean that company.

2. Eligibility

Unless the promotion-specific terms say otherwise, our promotions are open to UK residents aged 18 or over. Employees of the Agilio Group, our suppliers or contractors, anyone else professionally connected with the promotion, and their immediate families, can’t enter. We can ask for proof that you meet these requirements, and can withhold or withdraw a prize or benefit if you don’t.

3. Product discounts, trials and vouchers

Where a promotion offers a discount, free trial, or voucher against one of our products, it only applies to what the promotion-specific terms say it does — usually the base product at a single-user licence, not additional modules, add-ons or third-party products, unless stated otherwise. It’s only available if you don’t already have an active subscription to the relevant product. You can only use one promotion per order unless we say otherwise, and if you cancel a subscription taken out under a promotion, we can revert your ongoing pricing to our standard rate. Any voucher is subject to the issuer’s own terms and can’t be exchanged for cash.

4. Partner Codes and Account Credit

We (or a third party we've agreed this with) may give you a Partner Code that you can enter when creating your subscription, or from within your account, to reduce your subscription fees by the amount and for the period described when you enter it.

You can only use one Partner Code per subscription. A Partner Code is non-refundable and can't be exchanged for cash. Once it expires, you'll be charged the full fees for your subscription on a recurring basis until you cancel.

The third party who gave you a Partner Code may set its own terms and conditions for using it. If those terms conflict with these terms, these terms take priority.

We can also apply a Partner Code, or an Account Credit, to your subscription at our own discretion, to reduce the fees you owe. If we do, we'll confirm the details to you by email at the time.

5. Prize draws

Where a promotion is a prize draw, the promotion-specific terms will tell you how to enter, the promotion period, and the prize. Unless stated otherwise, you get one entry per qualifying action, we don’t accept entries generated by bots or other automated means, and there’s no charge to enter beyond any qualifying purchase.

We’ll select the winner at random from eligible entries after the promotion period ends, and contact them using the details linked to their entry. If a winner doesn’t respond within the time given in the promotion-specific terms, isn’t eligible, or declines the prize, we can pick another winner in the same way. We’re not responsible if we can’t reach a winner because their contact details are wrong or out of date.

Prizes are non-transferable, can’t be sold or exchanged for cash, and are subject to the terms of whoever supplies or manufactures them — we’re not liable if a prize doesn’t work with something else you own. If a prize is unavailable for reasons beyond our control, we can substitute one of equal or greater value. Unclaimed prizes are forfeited after the deadline in the promotion-specific terms, and we can award them to another entrant or not at all.

6. Event prizes

If a prize includes tickets to, or attendance at, an event, we’re not liable if the event is cancelled, changed or rescheduled, and we don’t have to provide an alternative or a refund if that means the winner can’t attend. Winners must follow the venue’s own rules, take up tickets on the dates we specify, and can’t sell or transfer tickets to someone else.

7. If you submit content as part of a promotion

If a promotion asks you to submit a photo, video, text or other content as part of your entry, you confirm it’s your own original work and that you own all rights in it, and you agree we can use, publish and adapt it without restriction in connection with the promotion. All rights in what you submit transfer to us on receipt, and you’ll sign anything reasonably necessary (at our expense) to formally document that if we ask you to.

8. Publicity

We may ask a winner’s permission to use their name or photo in marketing about the promotion, and we’ll only do this with their consent. Where the Advertising Standards Authority requires it, we may need to share a winner’s surname and county or region to confirm a valid prize was awarded — if you’d rather we didn’t publish this, tell us when you claim your prize, though we may still have to give it to the regulator if asked.

9. Your data

We use your personal data to run the promotion — for example, to record entries, select and contact winners, and deliver prizes — as described in our Privacy Policy. We do this on the basis of our legitimate interest in running the promotion, and we only keep promotion-related data for as long as we need it to run the promotion, deal with queries or complaints, and meet our legal obligations.

10. Fair use

We can refuse, withdraw or disqualify an entry if we reasonably believe someone has broken these terms, tampered with the entry process, acted dishonestly, or brought the promotion into disrepute. Our decisions about any aspect of a promotion are final, and we won’t enter into correspondence about them.

11. Liability

We’re not responsible for entries that are lost, delayed, incomplete or otherwise fail to reach us for reasons beyond our reasonable control, or for any loss or damage arising from your participation in a promotion or acceptance of a prize, except where the law doesn’t allow us to exclude this (for example, death or personal injury caused by our negligence, or fraud).

12. Changes and cancellation

We can cancel, suspend or change a promotion, or these terms, at any time and at our discretion. We’ll try to give reasonable notice of any significant change, including by updating this page.

13. Governing law

These terms, and any promotion run under them, are governed by the law of England and Wales, and the English courts have exclusive jurisdiction over any dispute.
